- You sign in with Matchouse, and your workspace belongs to your Matchouse agency, business or professional profile.
- Your documents stay yours. We only use them to provide the service.
- You’re responsible for what you send and for making sure e-signatures suit your documents.
- The free plan has monthly limits. A Matchouse subscription removes them.
This summary is for convenience. The full terms below are what apply.
1. About these terms
These terms and conditions (“Terms”) govern your use of Bloc Sign, including the website, the web application at sign.blocsign.io, our API and related services (together, the “Service”). By creating a workspace, signing in, or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation.
If you only sign a document someone sent you through Bloc Sign, section 9 (“Signing a document”) applies to you.
2. Who we are
Bloc Sign is provided by Percy Real Estate Ltd, trading as Matchouse (“we”, “us”, “our”), a company registered in England and Wales under company number 15525233, with its registered office at 25 Cabot Square, London, England, E14 4QZ. Bloc Sign is part of the Matchouse family of products.
3. Your account
You sign in to Bloc Sign with your Matchouse account. Your use of Matchouse is also governed by the Matchouse Terms of Service. You must:
- be at least 18 years old and able to enter into a binding contract;
- keep your Matchouse login details secure and not share them;
- tell us promptly if you believe your account has been used without your permission.
You are responsible for everything that happens under your account and your API keys.
4. Workspaces and teams
Each workspace belongs to one Matchouse agency, service professional profile or business. Ownership and roles follow Matchouse: owners of the agency or business are owners of the workspace, and Matchouse admins are workspace admins. If you leave the agency or business in Matchouse, you lose access to its workspace. Documents created in a workspace belong to the workspace, not to the individual team member who created them.
Workspace owners and admins are responsible for who they invite and for the activity of their team members.
5. Plans, limits and payment
Free plan. Workspaces without an active Matchouse subscription can, per calendar month (UTC), send up to 5 documents for signing, send up to 10 signing emails (invitations and reminders), and upload up to 5 documents into templates. Duplicating a template counts as uploading its documents. Every document sent or uploaded counts towards the month’s limit, even if it is later archived or deleted.
Unlimited. Workspaces whose Matchouse agency, profile or business has an active or trialling subscription can send without these limits. Subscriptions are bought, billed, renewed and cancelled through Matchouse under Matchouse’s terms. We check subscription status with Matchouse regularly, and limits apply again when a subscription ends.
We may change plan limits or features. If a change reduces what you get, we will give you reasonable notice first.
6. Acceptable use
You must not use the Service to:
- break any law, or send documents that are fraudulent, deceptive or that you have no right to send;
- impersonate anyone, or collect signatures from people who haven’t agreed to sign;
- send spam or unsolicited bulk messages;
- upload malware, or content that infringes someone else’s rights;
- try to gain unauthorised access to the Service or other users’ data, or test its security without our written permission;
- overload, disrupt, scrape or reverse-engineer the Service, except where the law allows this;
- resell the Service without our written agreement.
We may remove content or suspend access if we reasonably believe these rules have been broken.
7. Your documents and data
You keep all rights in the documents, templates, field values and other content you or your signers upload (“Customer Content”). You give us a limited licence to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service.
You confirm that you have the rights and permissions needed to upload Customer Content and to send it to the people you choose, including any notices or consents required by data protection law. Our Privacy policy explains how we handle personal data, including when we act as your processor.
You are responsible for keeping your own copies of signed documents and audit logs. You can download them at any time while you have access.
8. Electronic signatures
Bloc Sign records the evidence of an electronic signing process: who signed, when, from which IP address and device, and a cryptographic seal of the final document. Whether an electronic signature is valid for a particular document depends on the law that applies to it and the type of document.
Some documents, such as certain wills, deeds, powers of attorney or court documents, may need a handwritten, witnessed or qualified signature. You are responsible for deciding whether Bloc Sign is suitable for each document you send. We do not give legal advice, and we are not a party to any agreement between you and your signers.
9. Signing a document
If you open a signing link sent through Bloc Sign, you can review and sign the document, or decline it with a reason. By signing, you agree that your electronic signature is intended to have the same effect as a handwritten signature, and that the sender and other parties may rely on it. You confirm that you are the person the link was sent to, or that you are authorised to sign for them.
The sender, not us, is responsible for the content of the document. Questions about it should go to the sender.
10. API and webhooks
If you use our API or webhooks, keep your API keys secret and rotate them if they may have been exposed. We may set reasonable rate limits. You are responsible for securing the endpoints that receive webhooks and for checking their signatures. We may change the API, but we will try to give reasonable notice of changes that break existing integrations.
11. Availability and changes
We work to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, and we may change, add or remove features. If we stop offering the Service entirely, we will give you reasonable notice so you can download your documents.
12. Suspension and termination
You can stop using the Service at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, if your use creates a risk for us or others, or if the law requires it. Where it is reasonable to do so, we will tell you first and give you a chance to fix the problem.
When access ends, we may delete Customer Content after a reasonable period, as described in our Privacy policy. Sections that by their nature should continue, such as those on liability and governing law, continue after termination.
13. Disclaimers
Apart from the commitments in these Terms, the Service is provided “as is” and “as available”. To the extent the law allows, we exclude all implied warranties, including fitness for a particular purpose and non-infringement. Nothing in these Terms affects rights you have as a consumer that cannot be excluded by law.
14. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that, we are not liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill or data. Our total liability to you for all claims arising from or in connection with the Service is limited to the greater of (a) the amount you paid to Matchouse in the three months before the claim arose and (b) £100. This limitation does not apply where it would be unlawful.
15. Indemnity
If you use the Service for business purposes, you will compensate us for reasonable losses and costs arising from third-party claims caused by your Customer Content or by your breach of these Terms or the law.
16. Changes to these terms
We may update these Terms from time to time. If a change is significant, we will tell you by email or in the app at least 30 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you keep using the Service after a change takes effect, you accept the updated Terms.
17. Governing law
These Terms and any non-contractual disputes arising from them are governed by the laws of England and Wales. If you are a consumer, this does not take away any mandatory protections, or your right to bring proceedings in the courts, of the country where you live. If you are a business user, the courts of England and Wales have exclusive jurisdiction unless mandatory law requires otherwise.
